These Terms of Service (“Terms”) govern your access to and use of the Wattstamp website, user interface, applications, tools, and related services (collectively, the “Services”).
These Terms are entered into between you (“you” or “your”) and Wattstamp, together with its applicable affiliates (“Wattstamp,” “we,” “us,” or “our”).
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and any documents incorporated by reference, including our Privacy Policy.
If you do not agree to these Terms, you must not access or use the Services.
Wattstamp may modify these Terms from time to time. If you continue to access or use the Services after updated Terms become effective, you agree to be bound by the revised Terms. If you do not agree to any revised Terms, you must stop using the Services.
1. Eligibility and Prohibited Use
By accessing or using the Services, you represent and warrant that:
- You have the legal right, authority, and capacity to enter into these Terms.
- Your access to and use of the Services is permitted under the laws applicable to you.
- You will comply with all applicable laws, regulations, sanctions, and other legal requirements when using the Services.
- You are not subject to applicable sanctions imposed by the United Nations, European Union, United States, or any other applicable governmental authority.
- You will not use the Services for any unlawful purpose or in connection with fraud, money laundering, terrorist financing, sanctions evasion, or other prohibited activity.
- You will not access or use the Services from any jurisdiction where doing so would violate applicable law or expose Wattstamp to legal or regulatory restrictions.
Wattstamp may restrict or prohibit access to the Services, including by blocking particular users, wallet addresses, or geographic locations, where Wattstamp determines that such restriction is reasonably necessary to comply with applicable law, sanctions, regulatory requirements, or these Terms.
2. Wattstamp Services
2.1 Overview
Wattstamp provides this website and information about its projects, and is developing services that organise, verify, and make available records of real energy production.
Wattstamp may add, modify, suspend, or remove features from the Services at any time, and may discontinue all or part of the Services where permitted by applicable law. The specific functionality made available through the Services may change from time to time.
Wattstamp’s published roadmap includes portfolio and settlement infrastructure that may, in future, operate in connection with blockchain networks, smart contracts, or other distributed technologies. Those features are not offered today. If and when they are made available, they may depend on third-party protocols, blockchain networks, smart contracts, wallets, infrastructure providers, or other technologies outside Wattstamp’s control, and additional terms may apply.
2.2 Blockchain and Smart Contract Interactions
Where and to the extent the Services allow you to initiate transactions on a public blockchain or through third-party protocols, the following applies.
Depending on the Services you use, transactions initiated through the Services may be executed directly on a public blockchain or through third-party protocols or smart contracts.
Unless expressly stated otherwise, Wattstamp is not a counterparty to transactions executed through third-party protocols or public blockchain networks and does not take custody of your digital assets solely because you use the Services.
You acknowledge that blockchain transactions are generally irreversible once confirmed and that Wattstamp may have no ability to reverse, cancel, modify, or recover a transaction after it has been submitted to or confirmed by a blockchain network.
Wattstamp does not guarantee the operation, security, availability, functionality, or performance of any third-party blockchain network, smart contract, protocol, token, or other decentralized technology.
2.3 Third-Party Protocols and Services
The Services may provide functionality that allows you to interact with third-party protocols, decentralized applications, blockchain networks, wallets, bridges, exchanges, infrastructure providers, or other third-party services.
Your use of those third-party services may be subject to separate terms and privacy policies.
Wattstamp does not control third-party services and does not necessarily endorse, operate, or assume responsibility for them.
3. User Interface Features
3.1 Overview
The Wattstamp interface provides tools and information designed to make Wattstamp’s services easier to access and use.
Wattstamp may add, modify, suspend, or remove features from the Services at any time. Wattstamp may also discontinue all or part of the Services where permitted by applicable law.
3.2 No Guarantee of Protocol Availability
Where the Services provide access to an independently operated blockchain protocol, network, smart contract, or third-party service, the availability of that protocol or service may not depend on the availability of Wattstamp’s interface.
Accordingly, the discontinuation or temporary unavailability of the Wattstamp interface does not necessarily prevent users from interacting with independently operated blockchain networks or protocols through other interfaces or tools.
3.3 Wallets and Blockchain Transactions
The Services do not currently require you to connect a cryptocurrency or digital-asset wallet, and do not process digital-asset transactions.
If wallet-based functionality is introduced, the following will apply. Your use of a third-party wallet is governed by the terms and privacy policy of the applicable wallet provider. Wattstamp does not control your wallet, private keys, seed phrase, passwords, or any blockchain assets held through it, and you are solely responsible for maintaining the security and confidentiality of your wallet credentials. Wattstamp will never ask you to provide your private key or seed phrase through the Services. You are responsible for reviewing the details of any transaction before approving or signing it; once signed, a transaction may be submitted to the relevant blockchain network and may become irreversible. Transactions on a blockchain network may require payment of network or transaction fees, which are determined by that network rather than by Wattstamp.
4. User Responsibilities
You agree that you will:
- Use the Services only in compliance with these Terms and applicable law.
- Maintain the security of any credentials you use to access the Services and, where such functionality is made available, of any wallet you connect.
- Where the Services allow you to initiate a transaction, carefully review its details before approving or signing it.
- Not attempt to interfere with, disrupt, or compromise the Services or their underlying infrastructure.
- Not use automated systems, bots, scripts, or other methods to abuse or overload the Services unless expressly authorized by Wattstamp.
- Not introduce malware, viruses, or other harmful code into the Services.
- Not attempt to gain unauthorized access to the Services, accounts, systems, or infrastructure.
- Not use the Services to engage in fraudulent, deceptive, unlawful, or abusive activity.
- Not circumvent technical measures or access restrictions implemented by Wattstamp.
5. Intellectual Property Rights
The Services, including their software, interface, design, text, graphics, logos, trademarks, documentation, and other original content, are owned by or licensed to Wattstamp and are protected by applicable intellectual property laws.
Subject to your compliance with these Terms, Wattstamp grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose.
Except as expressly permitted by applicable law or these Terms, you may not copy, reproduce, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works of the Services or any proprietary portion thereof.
Nothing in these Terms grants you ownership of any Wattstamp intellectual property.
Third-party protocols, open-source software, blockchain networks, and other third-party components may be subject to separate licenses and terms.
6. Disclaimers and Limited Warranty
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
Wattstamp does not guarantee that the Services will:
- Be continuously available or uninterrupted;
- Be free from errors, bugs, defects, or security vulnerabilities;
- Be compatible with every device, browser, wallet, blockchain network, or third-party service;
- Produce any particular result; or
- Meet your particular requirements or expectations.
Wattstamp does not warrant or guarantee the security, functionality, performance, availability, or reliability of any public blockchain, smart contract, third-party protocol, wallet, digital asset, or other third-party technology.
Where the Services involve blockchain technology or digital assets, you acknowledge that these involve significant risks, including the potential loss of digital assets.
You are solely responsible for determining whether any transaction, digital asset, protocol, or blockchain-based activity is appropriate for you.
Nothing on the Services constitutes financial, investment, legal, tax, accounting, or other professional advice.
Wattstamp does not guarantee the value, liquidity, price, or future performance of any digital asset or blockchain-based product.
Information published through the Services about Wattstamp’s plans, roadmap, and intended services is forward-looking. It describes what Wattstamp is working towards and is not a commitment that any feature, service, or timeline will be delivered.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Wattstamp and its affiliates, directors, officers, employees, contractors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business opportunities, data, digital assets, or anticipated savings arising from or relating to your access to or use of the Services.
Wattstamp will not be liable for losses arising from circumstances outside its reasonable control, including blockchain network failures, congestion, smart contract vulnerabilities, wallet failures, cyberattacks, third-party service interruptions, transaction failures, or changes in applicable law or regulation.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
Where liability cannot be excluded, Wattstamp’s liability will be limited to the maximum extent permitted by applicable law.
8. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Wattstamp, its affiliates, and their respective directors, officers, employees, contractors, agents, and service providers from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or relating to:
- Your use or misuse of the Services;
- Your violation of these Terms;
- Your violation of applicable law or regulation;
- Your violation of any rights of another person or entity; or
- Your fraudulent, unlawful, or negligent conduct.
Wattstamp reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with Wattstamp in asserting any available defenses.
9. Risk Disclosure
The Services are provided in connection with a project that is under development. By accessing or using the Services, you acknowledge and accept the following risks.
Development Risk
Wattstamp is building its services in stages. Features described on this website, including the production record, the Vault, and settlement, may change, be delayed, or not be delivered. Nothing on the Services is a commitment that any feature will become available.
Information Risk
Information published through the Services, including production data and records, may be incomplete, delayed, or inaccurate. You are responsible for your own assessment before relying on it.
Third-Party Risk
Third-party protocols, wallet providers, infrastructure providers, bridges, exchanges, and other services may fail, become unavailable, be compromised, or change their functionality without notice.
Regulatory Risk
The legal and regulatory treatment of energy data, energy markets, blockchain technology, and digital assets varies between jurisdictions and may change over time. Changes in law or regulation may affect the availability or legality of certain Services.
Where blockchain-based functionality is made available, the following additional risks apply.
Smart Contract Risk
Smart contracts may contain bugs, vulnerabilities, design flaws, or other defects that could result in the loss or permanent locking of digital assets.
Blockchain Risk
Blockchain networks may experience congestion, outages, reorganizations, forks, attacks, or other technical events that may delay, prevent, or alter transactions.
Digital Asset Risk
Digital assets may be highly volatile and may lose some or all of their value. Past performance does not guarantee future results.
Transaction Risk
Blockchain transactions may be irreversible. You may send digital assets to an incorrect address or interact with an unintended contract. Wattstamp may be unable to reverse or recover such transactions.
Wallet Risk
The loss, compromise, or theft of your private keys, seed phrase, passwords, or other wallet credentials may result in permanent loss of access to your digital assets.
Tax Risk
Transactions involving digital assets may have tax consequences. You are solely responsible for determining and fulfilling your tax obligations.
10. Suspension and Termination
Wattstamp may suspend, restrict, or terminate your access to all or part of the Services where permitted by applicable law, including where we reasonably believe that:
- You have violated these Terms;
- Your use of the Services may violate applicable law or regulation;
- Your activity presents a security, legal, or compliance risk;
- Your wallet or activity is associated with prohibited or sanctioned activity; or
- Suspension is necessary to protect the Services, Wattstamp, or other users.
You may stop using the Services at any time.
Termination or suspension of your access to the Services does not affect rights or obligations that accrued before termination or provisions that are intended to survive termination.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of [insert applicable jurisdiction], without regard to its conflict-of-law principles.
Any mandatory rights or protections that apply to you under the laws of your jurisdiction of residence remain unaffected where applicable law does not permit them to be excluded.
The courts of [insert jurisdiction] shall have jurisdiction over disputes arising out of or relating to these Terms, subject to any mandatory jurisdictional rights available under applicable law.
12. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be modified or limited to the minimum extent necessary to make it enforceable, where permitted by applicable law.
If modification is not possible, the affected provision shall be severed, and the remaining provisions of these Terms shall remain in full force and effect.
13. Entire Agreement
These Terms, together with any documents expressly incorporated by reference, constitute the entire agreement between you and Wattstamp regarding your access to and use of the Services.
If any provision of these Terms conflicts with a provision of another agreement expressly applicable to a particular Wattstamp product or service, the applicable product-specific agreement will govern to the extent of the conflict.
14. No Waiver
Wattstamp’s failure to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision in the future.
15. Contact
If you have questions regarding these Terms or the Services, please contact Wattstamp through its official communication channels.
